The following terms and conditions govern the website of One-Connection Pte Ltd, a company incorporated in the Republic of Singapore (hereinafter referred to as “One-Connection”) and the software and the services made available by One-Connection this web site. By visiting our website and/or using any of our software or services, you agree to be bound by these Terms & Conditions. When you use a specific One-Connection service or item of software available from this website, you will also be subject to other agreements applicable to such individual services or items of software. One-Connection reserves the right to modify this Agreement at any time by posting such modification on the website and such modification shall be deemed effective immediately upon posting of the modified Agreement. Your continued usage of the Services shall be deemed your acceptance of the modified Agreement. You should visit this page periodically to review these Terms & Conditions.
1. ESTABLISHING AN OC ACCOUNT
To use software and certain services offered by One-Connection you first need to register for an OC Account which will enable you to use our online data and voice communications services (such as voice, fax and short messaging to mobile phone) (hereinafter refers to as “the Services”). OC Account holds no cash value and you will only be able to use the Service if there is sufficient credit balance in your OC Account. OC Account is not transferable or assignable in any way.
2. PRIVACY POLICY
To register for an OC Account or use the Services, you will be asked to provide certain information. We use the information you provide when you register in accordance with our Privacy Policy, which you may access on the Privacy Policy page.
3. CONFIDENTIALITY OF ACCOUNT INFORMATION AND PIN
You are responsible for maintaining the confidentiality of your OC Account, password and/or PIN and you accept responsibility for any and all activities that occur under your account. You agree One-Connection is not responsible for any lost or stolen PINs or any unauthorized use or misuse or any other breach of security. You agree to notify us immediately of any unauthorized use or any other breach of security.
4. SOFTWARE AND LICENSE
The software made available through this site is the copyrighted material of One-Connection and its third party suppliers. If One-Connection provides any software to you in connection with the services, One-Connection grants you a personal, non-exclusive, non-transferable license for the duration of your use of the services to use such software in object code form only on one piece of hardware for the sole purpose of enabling the services. The Software is "in use" on a computer when it is loaded into the temporary memory (i.e. RAM) or installed into the permanent memory (e.g., hard disk, CD-ROM, or other storage device) of that computer. You may not copy, distribute, reverse engineer, decompile, disassemble or otherwise reduce to human readable form any software provided by One-Connection in connection with the Services.
5. PROPRIETARY RIGHTS TO CONTENT
The content (including but not limited to text, software, music, sound, photographs, video, graphics or other material) contained on One-Conneciton’s website, in sponsor advertisements or in email-distributed by One-Connection or its agents are protected by copyright, trademark, service mark, patent or other proprietary rights, laws and treaties. Except as otherwise provided by law or expressly permitted herein, you may not modify, copy, reproduce, republish, upload, post, transmit, or distribute in any way content available through the website or the Services. You understand that neither One-Connection nor its network services supplier is responsible for the content of the transmissions sent by third parties that may pass through the Internet and/or the Services. One-Connection reserves all rights in its corporate names, service marks, logos, trade names, trademarks, website and domain names (collectively "Marks”) and nothing in these Terms & Conditions grants you the license to use such Marks. Additionally, other marks, which appear on this site, may be marks of third parties that are not affiliated with One-Connection. The section titles in these Terms & Conditions are solely used for the convenience of the parties and have no legal or contractual significance.
6. CHARGES
Charges for the Services you use to will be rated and charged by One-Connection or its authorized agents in United States dollars at a flat rate per minute (as provided in our Tariff Table). Our rates are calculated at sixty second increments. Rates for calls placed to cellular phones in certain countries may be billed at an additional surcharge for airtime. The amount debited to your account will include any applicable taxes, and will be shown in the currency provided for in your charge or credit card agreement. All rates are subject to change without prior notice. If your use of the OC Account is refused by the computer system of One-Connection or its authorized agents due to an invalid number, or used without authorization, please contact One-Connection immediately at support@one-connection.com.
7. PAYMENT
Payment of the charges for the Services is made by debiting your OC Account each time you use the Service in accordance with the Table of Rate. You agree that the records kept by One-Connection on its computer system of your use of the Service and the relevant charges incurred on your OC Account are final and binding on you. You shall be deemed to authorize any charges incurred from the use of your OC Account by One-Connection. To be able to use your OC Account continuously, you need to either credit balance to your OC Account by purchasing prepaid OC Cards or subscribe to postpaid billing and pay One-Connection in accordance with the invoices sent by One-Connection or its authorized agents to you. If you make payment to credit your OC Account by purchasing prepaid OC Cards from One-Connection or its authorized agents, you agreed that OC Cards once sold are not refundable and we would not be liable to you for any loss, theft, or misuse of the OC Cards. Payment for purchase of the OC Cards may be made by credit card transaction or any other means of payment as may be agreed by us or our authorized agents.
8. TERMINATION OF OC ACCOUNT
One-Connection or its authorized agents reserve the right to cancel your OC Account at any time and in which event One-Connection reserves the right to deny refunds of the unused amount in your OC Account. Without prejudice to the generality of the foregoing, your OC Account will be terminated if the "OC Number keeping period" specified in the respective service package you purchased has expired. If you use post-paid services, your OC Account may be suspended immediately upon our invoice becoming overdue.
9. CREDIT CARD PAYMENT
In the event you make any payment to One-Connection by the use of credit cards, you continue to be responsible to One-Connection or it's authorized agents for any charges resulting from the use of your OC Account after your charge or credit card has been terminated, or after you revoke your authorization to charge to your credit card or your credit card account, which charges will be payable immediately to One-Connection or it's authorized agents. All charges incurred through use of your OC Account and debited to your credit card account are subject to the credit card finance charges appearing on your account statement, in accordance with the terms and conditions of your credit card agreement.
10. FACSIMILE AND MESSAGE
Each OC Account allows a maximum of facsimile pages, voice messages and SMS to be stored for a certain period of time depending on the service package you purchased. You agree that One-Connection is not responsible or liable for deletion of, or failure to store or retrieve any facsimile document, voice message or SMS.
11. DISPUTE RESOLUTION
Any disputes concerning the use of your OC Account requiring judicial resolution shall be determined in the Courts of the Republic of Singapore under the laws of the Republic of Singapore. The terms of use shall be governed by and construed in accordance with the laws of the Republic of Singapore. You agree to submit to the exclusive jurisdiction of the courts located in Singapore and you expressly waived all defenses to jurisdiction. If any provision(s) of the terms of use is held by a court of competent jurisdiction to be contrary to law, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect. One-Connection’s failure to exercise or enforce any right or provision of these Terms & Conditions shall not constitute a waiver of such right or provision unless acknowledged and agreed to by One-Connection in writing. You and One-Connection agree that any cause of action arising out of or related to the software or a service must commence within one (1) year after the cause of action arose; otherwise, such cause of action is permanently barred.
12. INTERNATIONAL USE
One-Connection makes no representations that information contained on this website or services provided by it are appropriate or available for use at locations outside Singapore. Access to the information or services may not be legal by certain persons or in certain countries. Our offer of services is void in jurisdictions in which the services are prohibited by law. If you access the website or use our services in a jurisdiction which prohibits the services offered, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. You understands and acknowledge that One-Connection or its authorized agents use public internet infrastructure to complete voice and data transmission and while all services on the One-Connection network is reliable, customers may experience some packet loss and delay. One-Connection is constantly upgrading connections to ensure that its customers receive the minimal of disruptions while using our services.
13. FRAUDULENT OR MISUSE OF THE OC ACCOUNT
You agree to use the Services for lawful purposes only. You are prohibited from posting on, or transmitting through any objectionable material of any kind, including, but not limited to any material that encourages conduct that would constitute a criminal offense, or give rise to a civil liability or otherwise violate any applicable local, state, national, or international law. If One-Connection believes, in its sole discretion, that you have engaged in any of the foregoing conduct, One-Connection may (a) remove such content from the computer system of One-Connection; (b) terminate or suspend your OC Account or use of the Services; and/or (c) forward the offensive materials, your communications with One-Connection, and your personally identifiable information to the proper authorities for investigation or prosecution. If One-Connection or it's authorized agents suspect fraudulent use of your account, your account may be suspended or terminated without notice.
14. INDEMNIFICATION
In the event of a lawsuit arising out of your use of the Services provided by One-Connection, of any hyperlinked website, or your breach of these Terms & Condition, you agree to defend, indemnify and hold One-Connection, its affiliates, directors, officers and employees, and agents harmless from any claim, demand, or damage, including reasonable legal and accounting' fees, asserted by any third party due to or arising out of your conduct or use of the Services.
15. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, you acknowledged that One-Connection under no circumstances, including, but not limited to, negligence, shall be liable for (a) any damages whatsoever (including without limitation direct, indirect, incidental, special or consequential damages, damages for loss of profits, business interruption, loss of programs or information, or other pecuniary loss) arising out of the use of or inability to use the website, the Services or any transactions provided on the Services or downloaded or hyperlinked from the website, or (b) any claims attributable to errors that result from the use of or the inability to use the Services, any changes to the Services, unauthorized access to or alteration of your transmissions or data, any material or data sent or received or not sent or received, or any transactions entered into through the Services. You specifically agree that One-Connection is not responsible or liable for any threatening, defamatory, obscene, offensive or illegal content or conduct of any other party or any infringement of another's rights, including intellectual property rights. If you are dissatisfied with the Services, the materials available on or through the Services, or with any of One-Connection's terms and conditions, your sole and exclusive remedy is to discontinue using any of One-Connection's products and services. The liability of One-Connection or it's appointed authorized agents, or any of its affiliates, employees, agents or service providers arising from missed delivery, non-delivery, or any other errors or omissions in the provision of the Services is limited to an amount equal to the charge for any such services.
16. DISCLAIMER OF WARRANTIES
One-Connection provides advertising, which may include information and links to third parties websites. One-Connection does not control in any respect any information, products or services offered by these third parties. The materials available through the Services and any third party are provided "as is" and "as available" and without warranties or conditions of any kind either expressed or implied. To the fullest extent permitted by applicable law, One-Connection expressly disclaims all warranties and conditions, express or implied, including, but not limited to, implied warranties and conditions of merchantability, merchantable quality, correspondence to description and fitness for a particular purpose, title and non infringement with respect to the website, the Services and any transaction performed through the Services or on the internet generally. One-Connection does not represent or warrant that the Services will be uninterrupted or error-free, that the Services will operate without any packet loss or any defects will be corrected, or that this site or the server that makes it available, are free of viruses or other harmful components. One-Connection does not warrant or represent that the use or the results the Services or the materials available through the Services or from third parties will be correct, accurate, timely, reliable or otherwise. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for accuracy of data input and output, and for maintaining a means external to the website for the reconstruction of any lost data.
17. EMERGENCY (911) CALLS
You expressly acknowledge that emergency/911 calls are not intended to be carried by the Software or Services and that neither One-Connection, its employees, agents, affiliates, nor its network services suppliers are or will be liable for such calls or for your failure to complete such calls using the Software or the Services.
18. UNITED STATES RESTRICTIONS
You agree to comply with United State’s export laws and regulations as they may be amended from time to time concerning the transmission of technical data and other regulated materials via the Internet or otherwise. By downloading any software, you certify that you are not a national of any country to which the United States embargoes services or technology and that you are not a person on any list prohibited by United States law or regulation from receipt of such software of technology.
19. TERMINATION
One-Connection may terminate any or all of the Services or the right to use the Software with or without cause at any time and effective immediately. In addition, One-Connection, in its sole discretion, may terminate your OC Account for violation of the letter or spirit of these Terms & Conditions.
